User Agreement & Terms of Use

Welcome to Buzzator (referred to here as the “Service”), a comprehensive ecosystem for social media asset creation, automated scheduling, distribution, data insights, and multi-user collaboration. The Service is accessible via buzzator.com and its associated sub-domains (the “Site”).

These Terms of Use (the “Terms”) establish a legally binding agreement between you and Buzzator regarding your interaction with the Site and our platform. By registering an account, browsing the Site, or utilizing any portion of the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not accept these provisions in their entirety, you are not authorized to access the Site or use the Service.

1. Service Governance and Corporate Identity

The Buzzator platform is delivered through a coordinated operational structure involving two independent legal organizations. By accessing the Service, you acknowledge that your contractual relationship is managed as follows:

  • Buzzator LLC: A Wyoming limited liability company (30 N Gould St, Ste N, Sheridan, WY 82801, USA). This entity is your primary contracting party and the provider of all front-end service interfaces. Buzzator LLC is responsible for account administration, client success, and the technical maintenance of API integrations with third-party networks such as Meta, LinkedIn, and TikTok. All service-related inquiries should be directed to this entity.
  • AI Global Reach LLC: A Delaware limited liability company (8 The Green, Ste B, Dover, DE 19901, USA). This entity is the independent proprietor and licensor of the platform’s underlying proprietary technology and intellectual property. In its capacity as the infrastructure provider, it manages the high-level technical framework and structural data records required to support the Service.

Nature of the Relationship: These entities operate as independent contractors to one another to provide a unified user experience. While Buzzator LLC manages the daily delivery of the Service and user engagement, AI Global Reach LLC provides the secure technological foundation and IP assets under a separate internal licensing framework. This structure ensures that your service access and data protections remain consistent regardless of the internal technical division of labor.

2. User Qualifications and Account Security

Requirements for Use: To utilize our Service, you must be at least 18 years of age (or have reached the age of majority in your specific jurisdiction) and possess the legal capacity to enter into a valid, enforceable contract. If you are accessing the Service on behalf of a corporation, partnership, or other legal entity, you certify that you have the necessary authority to bind that organization to these Terms. In such instances, the term “you” throughout this agreement applies to both you as an individual user and the organization you represent.

Account Management and Responsibility: You are solely responsible for the following:

  • Confidentiality: Keeping your login credentials secure and private.
  • Account Activity: All actions and transactions that take place under your account.
  • Accuracy: Ensuring your account details remain truthful, complete, and up to date.

Reporting Unauthorized Access: You must notify us immediately at [email protected] if you detect or suspect any breach of security or unauthorized entry into your account. Buzzator is not liable for any losses resulting from your failure to safeguard your account details.

Protection of Minors: For any users residing in California, the UK, or the EEA whom we reasonably believe to be under the age of 18, we apply 'high privacy' settings by default, including restricted data profiling and disabled precise geolocation tracking.

3. Description of the Service

Core Capabilities: Buzzator provides a comprehensive suite of digital tools designed for the creation, planning, evaluation, and collaborative management of content across nine or more social media networks. Our platform features include, but are not limited to:

  • Planning & Scheduling: A centralized engine for automated post-timing and calendar management.
  • Creative Assets: An integrated media repository and image customization suite.
  • Distribution: A managed publishing queue for streamlined content delivery.
  • Data Insights: Advanced analytics to track performance and engagement.
  • AI Generation: Intelligent systems for producing social media posts and full-scale marketing campaigns.
  • Brand Intelligence: A proprietary indexing engine that catalogs and maintains your unique brand assets.
  • Unified Communication: An AI-enhanced inbox to manage private messages and public comments in one location.
  • Team Governance: Collaborative workspaces supporting multiple brands and distinct user permissions.
  • Technical Ecosystem: Direct integrations with various external third-party platforms.

Service Tiers and Modifications: The specific tools, social channels, and usage thresholds available to you are determined by your chosen subscription plan and are subject to periodic adjustment.

We reserve the right to introduce, alter, pause, or remove any individual feature, integration, or social channel at our discretion. This includes changes necessitated by a third-party platform’s decision to modify or terminate API access, or updates to the terms of our AI model providers. In the event of significant changes that negatively impact paid users, we will use commercially reasonable measures to provide advance notification.

4. Brand Intelligence and Identity Resources

Functional Overview: Our Brand Intelligence system catalogs various identity markers, including design standards, logos, hex codes, content examples, URLs, and other instructional materials you provide or direct our platform to crawl (collectively defined as “Brand Assets”). These resources are strictly confined to the specific Brand workspace where they were originally imported. They serve as a contextual foundation for our generative AI, ensuring that all produced material adheres to your predefined aesthetic and tonal requirements.

User Representations and Maintenance: By importing or ingesting Brand Assets, you confirm and guarantee that you possess the required ownership, licensing, and legal authorization to use them. This includes the legal right to utilize any external logos, stock images, typefaces, or written materials included in your resources. You bear the exclusive responsibility for the accuracy and ongoing updates of your Brand Assets.

5. Subscriptions, Payment Terms, and Billing

Payment and Renewal: Buzzator LLC manages all transactions for our premium tiers. When you select a paid membership, you authorize Buzzator LLC (along with our external payment processors) to deduct the specified charges from your designated payment card or account. These deductions will occur automatically based on your chosen frequency—whether monthly, annually, or otherwise. To prevent the automatic renewal of your plan at the then-prevailing rates, you must terminate your subscription before the next billing cycle begins.

Refund Policy: Except as mandated by specific local regulations or explicitly outlined in a separate refund policy on our Site, all payments are final and non-reimbursable. This policy applies even if you only utilize a portion of a billing period. While canceling your plan ensures you will not be charged in the future, it does not provide an entitlement to a partial or pro-rated refund for the current term.

Taxes and Processing: Listed prices do not include government-mandated levies, such as sales tax, VAT, or duties; these additional costs remain your responsibility. We utilize third-party financial services to process payments; accordingly, your sensitive billing data is managed according to the security standards and privacy terms of those providers.

Price Adjustments: We reserve the right to modify our pricing for subsequent billing terms. We will notify you of any such changes via email or through an in-app alert at least thirty (30) to sixty (60) days in advance, as required by your local jurisdiction. If you continue to use the Service after a price adjustment takes effect, this will be interpreted as your agreement to the new fee structure.

Usage Thresholds and Limits: Individual plans are subject to specific capacity limits (such as the number of managed brands, AI generation tokens, data storage, or social channel links). If your activity exceeds these defined boundaries, we may implement service throttling, apply additional overage fees, or temporarily suspend the affected features as detailed in your specific plan description.

Cooling Off: Notwithstanding the above, if you are a consumer residing in the European Union or the United Kingdom, you have the right to cancel your subscription within 14 days of your initial purchase without giving any reason. However, you acknowledge that by utilizing the Service during this period, you may be required to pay for the portion of the Service provided up until the time you communicate your withdrawal.

6. Complimentary Tiers, Trial Periods, and Beta Functionality

Experimental and Free Access: We may provide access to the Service via cost-free subscriptions, limited-time trials, or features designated as “beta,” “early access,” or “preview.” These specific offerings are delivered on an “as is” and “as available” basis. They may include restrictive usage caps and are subject to modification or permanent removal at our sole discretion without prior notification.

Disclaimer of Warranties: Buzzator provides no guarantees, express or implied, regarding the performance, reliability, or accuracy of any free or experimental features. Your use of such features is at your own risk.

7. Ownership and Management of Your Content

Definition of User Material: Within these Terms, “Your Content” encompasses all information, including text, graphics, video, audio files, hyperlinks, metadata, posting schedules, AI prompts, settings, Brand Assets, and any other data you import into, create with, or send through our platform.

Retention of Ownership: As between you and Buzzator, you remain the sole owner of all intellectual property and proprietary rights associated with Your Content. We do not claim ownership of the materials you provide or generate.

Operational License Grant: To enable the functionality of our platform, you grant Buzzator a worldwide, royalty-free, non-exclusive, and sub-licensable license to host, archive, replicate, transmit, show, modify, and distribute Your Content. This license is granted strictly for the purposes of maintaining, delivering, protecting, and refining the Service.

This includes, but is not limited to:

  • Cataloging resources within our Brand Intelligence system;
  • Delivering Your Content to the external social networks you have linked;
  • Creating AI-generated material based on your instructions;
  • Compiling performance analytics and visual previews.

User Guarantees: You certify and warrant that:

  1. You own or have secured every necessary legal right, consent, and license required for Your Content;
  2. The distribution of Your Content on your linked social accounts will not violate the intellectual property or privacy rights of any third party;
  3. Your Content adheres to these Terms, all relevant government regulations, and the specific community standards of the third-party platforms where it is published.

8. Prohibited Conduct and Acceptable Use

User Restrictions: You agree to use the Service only for lawful purposes. You shall not, and shall not permit any third party to:

  • Harmful Content: Generate, upload, or circulate material that is illegal, libelous, abusive, threatening, or promotes hatred. This includes content that exploits minors, infringes on intellectual property, or violates the privacy and publicity rights of others.
  • Deceptive Behavior: Distribute spam, participate in coordinated inauthentic activity, operate undisclosed bots, inflate engagement metrics artificially, or produce fraudulent deepfakes.
  • Technical Interference: Attempt to bypass the Service’s security measures, access controls, or usage thresholds, nor those of any linked external platform.
  • Exploitation of Software: Deconstruct, reverse engineer, or scrape the Service to extract source code, except where such actions are explicitly allowed by law or applicable open-source licenses.
  • Competitive Training: Utilize the platform or its AI-generated outputs to build a competing software product or to train machine-learning models.
  • Commercial Misuse: Rent, sell, or white-label the Service to others without a formal, written commercial agreement from AI Global Reach LLC.
  • Security Breaches: Introduce malicious software, attempt unauthorized access to our systems, or compromise the stability and integrity of our infrastructure.
  • Sensitive Data: You agree not to upload or process any 'Sensitive Personal Information' (including biometric identifiers, health data, or neural data) through the Service without the express, prior written consent of Buzzator and the affirmative opt-in of the data subject.

Enforcement: We reserve the right to remove non-compliant content and suspend or delete accounts that violate these rules, with or without prior notice. Furthermore, we may report serious violations to the relevant third-party social media platforms.

9. External Platform Connectivity and Integrations

Role of the Service: A fundamental aspect of Buzzator is facilitating the delivery of Your Content to external networks (such as Instagram, Facebook, LinkedIn, X, TikTok, YouTube, and others). By linking your accounts, you grant Buzzator the authority to perform actions on your behalf as necessary to provide the Service.

Governance and Authority: The technical certifications and developer agreements required for these links are managed by Buzzator LLC. Your interaction with these networks through our platform is subject to the specific terms and privacy policies of each provider, including but not limited to:

  • Meta (Facebook, Instagram, Threads): Terms found at facebook.com/legal/terms and help.instagram.com/581066165581870.
  • LinkedIn: User Agreement at linkedin.com/legal/user-agreement.
  • X (formerly Twitter): Terms of Service at x.com/en/tos.
  • TikTok: Terms of Service at tiktok.com/legal/terms-of-service.
  • YouTube: By connecting, you accept the YouTube Terms (youtube.com/t/terms) and Google’s Privacy Policy. You may disconnect Buzzator from your Google account at security.google.com/settings/security/permissions.
  • Pinterest & Bluesky: Respective terms found at policy.pinterest.com/en/terms-of-service and bsky.social/about/support/tos.

Revocation and Liability: You may disconnect any social media account via your Buzzator settings or the platform’s own security portal at any time. Disconnecting will cancel all future scheduled activity for that channel.

Buzzator is not liable for the uptime, content moderation choices, account bans, or changes to API access implemented by these third-party providers. If an external platform alters its developer rules or shuts down its API, we may modify or stop support for that integration without incurring liability.

10. Artificial Intelligence Capabilities

Nature of AI Generation: The platform utilizes automated tools to produce written copy, visuals, video clips, hashtags, marketing sequences, data summaries, and interaction responses (collectively, “AI Output”). You acknowledge that AI Output is created through probabilistic modeling and may occasionally be incorrect, partial, or inappropriate for your specific needs.

User Responsibility and Oversight: You bear exclusive responsibility for auditing all AI Output prior to distribution. You must ensure such material adheres to legal regulations, third-party network policies, and the rights of any individuals featured. Furthermore, you are responsible for providing any legally mandated disclosures regarding the use of AI in your content.

You agree not to remove or obscure any digital watermarks or 'content provenance' metadata (such as C2PA headers) that Buzzator may embed in AI Output to indicate its generative origin. Where required by law (e.g., EU AI Act), you must clearly label any content that has been significantly modified or generated by AI as such.

Data Processing for AI: To facilitate these features, we may share your instructions and relevant data (including context from your Brand Intelligence records) with external AI model providers who serve as our sub-processors. We prohibit these partners from using your data to train their foundational models unless you specifically opt-in or where a provider’s mandatory policy dictates otherwise (any such exceptions will be detailed in our Privacy Policy).

Operational Control: Buzzator provides a spectrum of creative control: you may choose full end-to-end automation, use AI for initial drafts and manual refinement, or create content entirely from scratch. The degree of AI involvement remains at your discretion.

11. Buzzator Intellectual Property

Ownership: The Service, the Site, and all underlying code, interface designs, graphics, branding, and proprietary materials (excluding Your Content and components governed by open-source licenses) are the exclusive property of AI Global Reach LLC, Buzzator LLC, or their respective licensors. These assets are protected by international intellectual property laws.

User License: Conditioned upon your adherence to these Terms, we provide you with a limited, non-assignable, non-exclusive, and revocable license to utilize the Service for its intended commercial purpose throughout the duration of your active subscription.

Open Source Components: Any third-party or open-source software integrated into the platform remains subject to its original licensing terms. These Terms do not override or limit your rights under those specific licenses.

12. Submission of Feedback

If you choose to share suggestions, enhancement ideas, or critiques regarding the Service, you grant Buzzator a permanent, global, royalty-free, and irrevocable license to implement and utilize that feedback for any purpose without providing notice, credit, or financial compensation to you.

13. Privacy and Information Security

Our methods for handling personal data are detailed in the Privacy Policy, which is an integral part of this legal agreement. In scenarios where we process data on your behalf regarding your audience (such as managing comments or direct messages), we act as a "data processor." In such cases, our Data Processing Addendum (DPA) applies. You may obtain a copy of the DPA by contacting [email protected].

14. Account Suspension and Cancellation

Termination by User: You are free to close your account at any time via your profile settings.

Termination by Buzzator: We reserve the right to restrict or terminate your access to the Service immediately and without notice if you violate these Terms, fall behind on payments, or utilize the platform in a manner that creates legal, security, or reputational hazards for us or our partners.

Effect of Termination: Upon account closure, your authorization to use the Service expires instantly. We may remove Your Content and Brand Assets following a standard retention window as outlined in our Privacy Policy. All provisions intended to remain in effect post-termination (including sections on liability, indemnity, fees, and ownership) shall survive the ending of this agreement.

15. Warranty Disclaimers

To the fullest extent allowed by law, the Site and Service are offered on an “as is” and “as available” basis. Buzzator disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, suitability for a specific goal, and non-infringement.

Specifically, we do not guarantee:

  • That the Service will be entirely free of errors or interruptions;
  • That scheduled content will be delivered exactly on time;
  • That external social platforms will accept or maintain your posts;
  • That AI-generated results will be factually correct or perfectly aligned with your brand;
  • That data received from third-party analytics will be 100% accurate.

16. Limitation of Legal Responsibility

Exclusion of Certain Damages: To the fullest extent permitted by applicable law, Buzzator—including its partner entities, directors, staff, representatives, and licensors—shall not be held liable for any indirect, incidental, consequential, special, or punitive damages. This includes, without limitation, any loss of expected revenue, profits, data, business reputation, or commercial opportunities arising from your use of the Site or Service. This limitation applies regardless of the legal theory (contract, negligence, strict liability, or otherwise) and even if we were previously informed of the potential for such losses.

Cap on Total Liability: The combined total liability of Buzzator (comprising both Buzzator LLC and AI Global Reach LLC) for all claims related to these Terms or the Service is strictly limited to the greater of: (a) the total amount you paid to AI Global Reach LLC for the Service during the twelve (12) months prior to the incident giving rise to the claim; or (b) One Hundred US Dollars ($100.00).

17. Indemnification and Defense

You agree to protect, defend, and hold harmless Buzzator LLC, AI Global Reach LLC, and their respective officers, directors, employees, and affiliates against any third-party claims, legal actions, losses, or expenses (including reasonable attorney fees) resulting from:

  • Your Material: Any content or Brand Assets you upload or generate;
  • Platform Use: Your specific use of the Service;
  • Breach of Terms: Your failure to comply with this agreement;
  • Legal Violations: Your infringement of any law or the rights of a third party (including the rules of linked social networks); or
  • Third-Party Conflicts: Any dispute between you and another party regarding content published via the Service.

18. Marketing and Email Communication

By enrolling in our newsletter or selecting marketing options during registration, you consent to receive educational, promotional, and product-related emails from us. You may opt out of these messages at any time by following the "unsubscribe" link provided in our emails or adjusting your preferences in your profile settings. Please note that Service-Related Communications (such as billing invoices, security alerts, and system notices) are mandatory for active accounts and cannot be disabled.

19. Use of Tracking Technologies

As detailed in our Privacy Policy, we utilize cookies and equivalent digital technologies to manage user sessions, remember preferences, enhance security, and conduct analytics. Your continued use of the Site serves as your consent to our use of these technologies in accordance with your browser settings and our policy.

20. Revisions to these Terms

We reserve the right to modify these Terms periodically. For substantial changes, we will provide reasonable advance notice through email or internal platform alerts. Updated Terms become effective on the date specified in the "Last Updated" header. Your continued interaction with the Service following that date constitutes your formal acceptance of the revised Terms.

21. Jurisdictional Law and Resolution of Disputes

These Terms, and any related non-contractual disputes, are governed exclusively by the laws of the State of Delaware, USA, excluding its conflict-of-law rules. Any legal proceedings related to this agreement must be initiated in the state or federal courts of Wilmington, Delaware. However, Buzzator reserves the right to seek injunctive relief or pursue intellectual property infringement claims in any jurisdiction where you reside or where the infringement occurs. This section does not override non-waivable consumer protections granted by the laws of your home country.

TO THE EXTENT PERMITTED BY LAW, YOU AND BUZZATOR AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If you are a resident of the EU or UK, you may also have the right to submit a dispute to an alternative dispute resolution (ADR) entity or via the European Commission’s Online Dispute Resolution platform.

22. General Legal Provisions

This document, along with our Privacy Policy and any applicable Data Processing Addendum (DPA), represents the complete agreement between you and Buzzator. If a court finds any part of these Terms unenforceable, the remaining sections stay in effect. Our choice not to enforce a specific right does not mean we waive that right in the future. You may not transfer your rights under this agreement without our written approval; however, we may assign our rights in the event of a merger, sale, or corporate restructuring.
